Kendee Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Kendee Dreams Reasources Ltd. ("Kendee", "Company", "we", "us", or "our"). They govern your access to and use of the Kendee website, mobile application, dashboards, APIs, and all related products and services (collectively, the "Platform").

By accessing, registering on, or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not access or use the Platform.

Kendee is a digital real estate participation platform that enables users to participate in property-related funding opportunities, monitor development progress through defined milestones, and manage their portfolios digitally.

Kendee:

• Is not a bank, stock exchange, collective investment scheme, fund manager, or investment advisory firm
• Does not provide financial, legal, or investment advice
• Does not guarantee profits, capital preservation, timelines, or outcomes

All content provided on the Platform is for informational purposes only and should not be relied upon as professional advice.

3. Eligibility and User Representations

• You are at least 18 years old
• You have full legal capacity to enter into binding agreements
• All information provided is accurate, complete, and current
• Your use of the Platform complies with all applicable laws and regulations

Kendee reserves the right to verify eligibility and suspend or terminate accounts that breach these representations.

4. Account Registration and Security

• Maintaining the confidentiality of login credentials
• All activities conducted under your Account
• Promptly notifying Kendee of unauthorized access or security breaches

Kendee shall not be liable for losses resulting from unauthorized access where reasonable security measures were implemented.

5. Platform Structure and Participation Model

5.1 Property-Specific and Milestone-Based Participation

• Have multiple Funding Rounds
• Progress through defined Milestones
• Carry distinct terms, disclosures, and risk profiles

5.2 User Options at Milestones

• Continue participation into subsequent Milestones
• Exit or withdraw at defined stages
• Reallocate participation subject to availability and conditions

No option is guaranteed and all actions remain subject to platform rules and project terms.

6. Payments and Transactions

Kendee is not responsible for delays, reversals, or failures caused by Third-Party payment providers.

7. Fees and Charges

• Will be disclosed prior to commitment
• May vary by Property or Funding Round
• Are non-refundable except where required by law

Kendee reserves the right to revise its fee structure with notice.

8. Risk Disclosure and Assumption of Risk

You expressly acknowledge and accept that real estate participation involves inherent financial and market risks.

9. Prohibited Activities

Users shall not:

• Engage in unlawful, fraudulent, or misleading conduct
• Manipulate data, Funding Rounds, or Milestones
• Circumvent security measures or access controls
• Interfere with Platform operations or other users

Violations may result in immediate enforcement action.

10. Intellectual Property Rights

All Platform content, software, trademarks, designs, and materials are owned by or licensed to Kendee. No rights are granted except as expressly permitted. Unauthorized use is strictly prohibited.

11. Suspension, Restriction, and Termination

Kendee may suspend, restrict, or terminate access without prior notice where a User:

• Breaches these Terms
• Violates applicable laws
• Poses security, compliance, or reputational risk

Termination does not affect accrued rights or obligations.

12. Disclaimers

The Platform is provided on an “as is” and “as available” basis. Kendee disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and uninterrupted availability.

13. Limitation of Liability

To the maximum extent permitted by law, Kendee shall not be liable for:

• Investment or participation losses
• Indirect, incidental, special, or consequential damages
• Downtime or service interruptions beyond reasonable control

Aggregate liability shall not exceed the total fees paid by the User to Kendee in the preceding twelve (12) months, where applicable.

14. Indemnification

You agree to indemnify and hold harmless Kendee from any claims, damages, losses, or expenses arising from your breach of these Terms, misuse of the Platform, or violation of law.

15. Amendments and Updates

Kendee may amend these Terms at any time. Updated Terms become effective upon publication. Continued use of the Platform constitutes acceptance.

16. Assignment

Kendee may assign or transfer its rights and obligations under these Terms without restriction. Users may not assign rights without prior written consent.

17. Severability

If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Nigerian courts shall have exclusive jurisdiction.
